TIH Industries LLC
Single Page Website, Hosting, and Domain Package
These terms govern the purchase of a single page website, domain registration, and hosting from TIH Industries LLC. By completing payment, the Client accepts these terms in full. No signature is required. Payment constitutes acceptance.
The following details are recorded for each purchase and form part of these terms.
| Client | Recorded on the invoice |
| Business Name | Recorded on the invoice |
| Approved Design | The design approved by the Client before purchase |
| Domain Selected | Recorded on the invoice |
| One Time Fee | Recorded on the invoice |
| Domain Included | $70.00 total, being $35.00 per year for two (2) years |
| Hosting Term | Two (2) years from the launch date |
The one time fee covers the following, and nothing beyond it:
Where the Client maintains an active Google Workspace Business plan, TIH Industries will configure the Client business email to reflect the newly registered domain at no additional cost. This configuration is limited to Google Workspace Business plans, is not available on other email platforms, and is not a condition of this agreement.
The following are outside the scope of this package. Each is available as a separate paid engagement, quoted independently:
This package is a one time build. It does not include a monthly service plan, and no ongoing marketing, optimization, maintenance, or content service is implied by this purchase.
The domain is registered with the Client named as the registrant. The Client is the legal owner of the domain from the date of registration and remains the owner at all times, including after this agreement ends.
TIH Industries is listed as the technical and administrative contact and manages the registration on behalf of the Client. Domain registration and management is charged at thirty five dollars ($35.00) per year. Two (2) years, being seventy dollars ($70.00), are included in the one time fee. Renewal after that period is quoted separately and is at the sole election of the Client.
Domain availability is confirmed at the time of registration and cannot be guaranteed in advance. Where a selected domain becomes unavailable, or is subject to premium registry pricing above the standard registration rate, TIH Industries will notify the Client and request an alternative selection. Any premium registration cost above the standard rate is the responsibility of the Client and will be quoted in writing before it is incurred.
The Client may transfer the domain to a registrar of their choosing at any time, for any reason, by written request. TIH Industries will provide the authorization code and release the domain lock within five (5) business days of that request. No transfer fee, release fee, or repurchase payment of any kind is charged for a domain transfer. TIH Industries will not withhold, encumber, or condition the release of a Client domain on the settlement of any invoice, dispute, or other obligation.
Domain transfers are subject to the sixty (60) day post registration transfer restriction imposed by the Internet Corporation for Assigned Names and Numbers. This restriction is a registry rule and is outside the control of TIH Industries.
Hosting is provided for two (2) years beginning on the launch date. Hosting is delivered through a third party platform account administered by TIH Industries on behalf of the Client.
TIH Industries will contact the Client no later than thirty (30) business days before the hosting term expires, with renewal pricing for the following term. Renewal is at the sole discretion of the Client and is not automatic.
Where the Client elects not to renew, the website will be taken offline at the end of the paid term. The Client retains the domain regardless of the renewal decision, and may request the materials described in Section 12.
TIH Industries does not guarantee uninterrupted availability. Hosting depends on third party platform infrastructure, and scheduled maintenance, provider outages, and events outside the reasonable control of TIH Industries may cause temporary interruption.
To begin the build, the Client will provide the following:
Before the website is made live, TIH Industries will present the finished page to the Client for review. The Client must confirm in writing that every item on the page is correct and current, including all menu items, all prices, all service descriptions, hours of operation, business address, telephone number, and social media links. The website will not be published until that written confirmation is received.
The Client is solely responsible for the accuracy, legality, and currency of all content published on the website, including pricing, product and service descriptions, claims, reviews, ratings, testimonials, and hours of operation. TIH Industries publishes Client supplied content as provided and does not independently verify it. Written confirmation under this section is the Client acceptance of that content as accurate at the time of publication.
The Client warrants that it holds all necessary rights to any logo, photograph, text, or other material supplied for publication, and that such material does not infringe the rights of any third party.
The website will be built and made live within two (2) business days of the latest of the following three events: receipt of payment in full, receipt of all items listed in Section 6, and receipt of the written pre launch confirmation required under Section 6.
For all purposes under this agreement, a business day means Monday, Tuesday, Thursday, Friday, and Saturday, excluding recognized United States federal holidays. TIH Industries is closed Wednesday and Sunday. Operating hours are 10:30 a.m. to 6:30 p.m. Central Time on Monday, Tuesday, Thursday, and Friday, and 10:30 a.m. to 3:00 p.m. Central Time on Saturday. Requests received outside operating hours are treated as received at the start of the next business day.
Where a domain requires extended registry propagation, launch may be delayed until propagation completes. TIH Industries will notify the Client of any such delay.
Two (2) rounds of revisions to the approved design are included, provided each request is submitted in writing within seven (7) business days of the launch date. A round of revisions means a single consolidated list of changes, not a series of separate requests.
After that seven (7) business day period, all content changes are billed. This includes menu changes, price changes, the addition or removal of items, seasonal updates, changes to hours or contact details, new photographs, and any other alteration to the published page. Content changes are quoted from the following schedule:
| Change Request | Fee |
|---|---|
| Single item change, such as one price, one menu item, the telephone number, or hours of operation | $75.00 |
| Up to ten (10) menu or content items in one consolidated request | $250.00 |
| Eleven (11) to twenty five (25) menu or content items in one consolidated request | $375.00 |
| Twenty six (26) or more items, full menu replacement, or a change to page layout or section structure | $600.00 |
| New photography placement, added page section, or new functionality | Quoted separately |
| Rush handling, completed within the same business day where capacity allows | Add 50% |
Requests are billed per consolidated submission. Where the Client submits several separate small requests rather than one list, each submission is billed separately at the applicable rate. Prepaid annual content update packages are available on request and are quoted at the time of purchase.
Work does not begin until the Client approves the quote in writing and payment is received. No billable work is performed without written approval.
Correction of a defect caused by TIH Industries, including a broken link, a display fault, or an error introduced during the build, is not a billable change and will be corrected at no cost. Content that was published in accordance with the written confirmation given under Section 6 is not a defect.
The fee is due in full before work begins. The purchase is a one time transaction. There is no recurring charge, no subscription, and no automatic renewal associated with this package.
Because the domain is registered and platform resources are allocated immediately upon purchase, the fee is non refundable once the build has commenced. Where the Client cancels in writing before any work has begun and before the domain has been registered, a full refund will be issued.
Upon delivery of the completed website, the build portion of the fee is fully earned and is not refundable for any reason, including a later decision by the Client not to renew hosting or to move the website elsewhere.
Prices quoted are exclusive of any applicable sales tax. Where sales tax applies, it will be identified separately.
The Client owns all content the Client supplies, including its business name, logo, photographs, menu, and written material. Upon payment in full, the Client owns the finished website design as delivered.
TIH Industries retains ownership of its own underlying templates, frameworks, code libraries, design systems, and production methods, and may reuse them on other projects. Nothing in this agreement transfers ownership of those underlying tools.
The Client grants TIH Industries a perpetual, irrevocable, worldwide, royalty free right to display the completed website, images and recordings of it, and the Client business name and logo, in the portfolio, case studies, proposals, website, social media, and marketing materials of TIH Industries, and to describe the work performed. This right survives the completion, expiration, or termination of this agreement and is not revocable by the Client. Where a separate confidentiality agreement is executed between the parties, that agreement governs to the extent it conflicts with this paragraph.
The website and all related services are provided on an as is and as available basis. TIH Industries disclaims all warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, or non infringement. TIH Industries does not warrant that the website will be uninterrupted, error free, or secure, or that it will produce any particular level of traffic, inquiries, sales, revenue, or search ranking.
The total aggregate liability of TIH Industries under this agreement, for any cause and on any theory of liability, whether in contract, tort, negligence, strict liability, or otherwise, shall not exceed the total amount actually paid by the Client to TIH Industries for this package.
TIH Industries shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunity, loss of goodwill, or loss of data, arising out of or relating to the website, its availability, or its content, even if TIH Industries has been advised of the possibility of such damages.
TIH Industries provides business strategy and infrastructure services. Nothing in this agreement or in the delivered work constitutes legal, tax, accounting, financial, insurance, or investment advice, and no such advice is offered or implied. The Client is responsible for confirming all regulatory, licensing, and entity matters with its own licensed professionals.
The website build is a completed, delivered work product. Once the website has been delivered and the fee paid, there is nothing to terminate in respect of the build, and no refund is due. This section governs the hosting relationship only.
The Client may end hosting at any time by written notice. Hosting fees already paid are not refunded in whole or in part for any unused portion of the term.
TIH Industries may suspend or remove a website that publishes unlawful content, infringing material, or content that violates the acceptable use policy of the hosting platform. Where practicable, TIH Industries will notify the Client and allow a reasonable opportunity to correct the issue before suspension.
Where the Client wishes to move the website to a different host, whether at the end of the term or earlier, TIH Industries will on written request supply the page content and the page text, at no charge. The format of that delivery is determined solely by TIH Industries and will be provided as hypertext markup language (HTML) code, as screen captures of the published page, or as a combination of the two, at the sole election of TIH Industries. The Client does not select the delivery format.
Photographs and images supplied by the Client remain the property of the Client and are returned in the form in which they were supplied.
The Client acknowledges that the website is built on a third party platform and that a direct file transfer between platforms is not technically possible. The Client is solely responsible for selecting a destination platform capable of accepting the delivered format. Where the destination platform selected by the Client does not accept hypertext markup language code or the format supplied, TIH Industries has no obligation to convert, reformat, redevelop, or otherwise adapt the materials, and no refund or credit is due on that basis.
The obligation of TIH Industries under this section is to supply the materials described above, and nothing further. Rebuilding, converting, or reproducing the website on another platform is available as a separate quoted engagement.
The domain is transferred in accordance with Section 4 in all cases, regardless of the status of hosting or of any outstanding matter between the parties.
This agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. The exclusive venue for any dispute is the state or federal courts located in Travis County, Texas.
These terms represent the entire agreement between the parties for this package and supersede all prior discussions, proposals, quotations, and representations, whether written or oral. Any amendment must be made in writing and agreed by both parties.
Where any provision of this agreement is found unenforceable, the remaining provisions continue in full force.
TIH Industries performs as an independent contractor. Nothing in this agreement creates a partnership, joint venture, agency, or employment relationship between the parties.
Completion of payment constitutes full acceptance of these terms by the Client. The Client should retain a copy of this document together with the payment receipt.
